Transactional Lawyering

Emphasizes practical skills over substantive knowledge, teaches the elements of contracts and how these elements work together. Learn how to translate what your client wants to accomplish into a clear and effective contract, and how to revise contracts with an eye to advocacy rather than stylistic preference. Work with various forms of existing agreements to craft contracts tailored to your client's needs. Prepare contracts and documents used by early stage companies.

Elements of a Contract

Students will understand that all contracts include similar elements and how these elements work together within a contract.

Creating Contracts

Students will be able to translate what a client wants to accomplish into a contract or contracts that clearly and effectively govern the relationship(s) between the parties.

Contract Revision

Students will be able to revise contracts prepared by others with a focus on client advocacy rather than stylistic preference.

Basic Documents

Students will be able to understand and prepare basic documents and contracts needed by early-stage companies.
